1. Acceptance of Terms
By accessing or using the sxply platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and sxply. We reserve the right to update these Terms at any time; continued use of the Service constitutes acceptance of any changes.
2. Description of Service
sxply is a shipping aggregator platform that provides access to carrier rates, shipping label generation, freight forwarding services, customs documentation assistance, and related logistics tools. We act as an intermediary between users and carriers or freight forwarders. We are not a carrier and do not physically handle shipments unless operating under an Enterprise managed service agreement.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and not share them with third parties.
- Notify us immediately of any unauthorised use of your account.
- Be responsible for all activity that occurs under your account.
4. Subscription Plans and Billing
sxply offers the following subscription tiers:
- Standard (Free): access to basic shipping features at no charge.
- Business (£30/month): includes a 30-day free trial. A valid payment method is required at sign-up. You will be automatically charged £30/month after the trial period ends unless you cancel before the trial expires.
- Enterprise (Custom pricing): bespoke managed shipping department service. Pricing is agreed individually. Contact our team for details.
All prices are in GBP and inclusive of VAT where applicable. Subscriptions renew automatically. You may cancel at any time through your Dashboard; cancellation takes effect at the end of the current billing period.
5. Prohibited Uses
You may not use the Service to ship:
- Prohibited, restricted, or controlled goods (including weapons, narcotics, hazardous materials) without appropriate licences.
- Counterfeit goods or items that infringe intellectual property rights.
- Items prohibited by the destination country's import regulations.
- Any goods in violation of UK export control laws or international sanctions.
You are solely responsible for ensuring your shipments comply with all applicable laws and carrier terms. sxply reserves the right to cancel shipments and terminate accounts found to be in violation.
6. Customs and Duties
You are responsible for ensuring accurate customs declarations, HS codes, and commercial invoices. Import duties, taxes, and customs fees are the responsibility of the recipient unless otherwise agreed in writing. sxply provides customs documentation assistance but does not guarantee customs clearance or accept liability for delays caused by customs authorities.
7. Liability and Disclaimers
sxply acts as an agent and intermediary. To the maximum extent permitted by law:
- We are not liable for loss, damage, or delay caused by carriers or freight forwarders.
- We are not liable for indirect, consequential, or punitive damages arising from use of the Service.
- Our total liability to you for any claim shall not exceed the fees paid by you in the 3 months preceding the claim.
- Carrier liability for lost or damaged shipments is governed by the relevant carrier's terms and conditions.
8. Intellectual Property
All content, trademarks, and software on the sxply platform are owned by or licensed to sxply. You may not reproduce, distribute, or create derivative works without our express written permission.
9. Termination
We reserve the right to suspend or terminate your account at any time for breach of these Terms, fraudulent activity, or any other reason at our sole discretion. You may close your account at any time by contacting us at [email protected].
